This WARRANT EXCHANGE AGREEMENT (this “Agreement”), dated as of October 19, 2009, is made by and between Unigene Laboratories, Inc., a Delaware corporation (“Unigene”), and Victory Park Special Situations Master Fund, Ltd. (“Victory Park”).

This OMNIBUS AMENDMENT AGREEMENT (this “Amendment”), dated as of October 19, 2009, is by and among UNIGENE LABORATORIES, INC. (“Principal Borrower”), VICTORY PARK MANAGEMENT, LLC, as administrative agent and collateral agent (“Agent”) and the Holders signatory hereto. This Amendment No. 1 (this “Amendment No. 1”), dated as of January 15, 2010 (the “Amendment Date”), hereby amends that certain License Agreement, dated as of October 19, 2009 (the “Agreement”), by and between Unigene Laboratories, Inc. (“Unigene”), a Delaware corporation, and Tarsa Therapeutics, Inc. (“Tarsa”), a Delaware corporation. Capitalized terms used but not otherwise defined herein shall have the meanings assigned to such terms in the Agreement.
