THIS SERIES A PREFERRED SHARE PURCHASE AGREEMENT (the “Agreement”) is made as of October 2, 2010, by and among Sogou Inc., a company incorporated under the Laws of the Cayman Islands (the “Company”), Sogou (BVI) Limited, a company duly incorporated and existing under the Laws of the British Virgin Islands (“Sogou BVI”), Sogou Hong Kong Limited, a company duly incorporated and existing under the Laws of the Hong Kong S.A.R.
