This amendment (“Amendment”) is effective as of the date signed by Adaptec (“Effective Date”) and amends that certain Independent Contractor Agreement effective as of January 4, 2010 (“Agreement”) between Adaptec, Inc., and John J. Quicke (“Contractor”). Unless expressly stated to the contrary herein, all capitalized terms in this Amendment shall have the meaning ascribed to them in the Agreement.

As we have previously discussed, your employment with ADPT is extended and your final termination date is now May 31, 2011. You will remain on ADPT’s payroll and continue to receive payroll checks through your termination date. Your final payroll check will include any unused accrued vacation. Your current health and welfare benefits will end on May 31, 2011.

This Agreement is entered into by and between Adaptec, Inc., which includes its wholly owned subsidiaries (“Adaptec”), and the contractor set forth above (“Contractor”) as of the date executed by Adaptec (“Effective Date”). Adaptec agrees to retain Contractor and Contractor agrees to perform work for Adaptec, subject to the Independent Contractor Agreement Terms and Conditions attached.
