This dealer agreement (“Dealer Agreement”) is entered into between Natixis Distributors, L.P. (“our”, “us”, or “we”) and the undersigned company (“you”). We offer to sell to you shares of each of the mutual funds distributed by us (the “Funds” and each a “Fund”), for each of which we serve as principal underwriter as defined in the Investment Company Act of 1940, as amended (the “Act”), and from which we have the right to purchase shares.1

The Advisory Agreement dated October 30, 2000 between Natixis Funds Trust I (formerly, CDC Nvest Funds Trust I) (the “Fund”) with respect to its Natixis U.S. Multi-Cap Equity Fund (formerly, CDC Nvest Star Advisers Fund) (the “Series”) and Natixis Asset Management Advisors, L.P. (formerly, CDC IXIS Asset Management Advisers, L.P.) (the “Manager”) is hereby revised, effective June 1, 2011, to delete Section 7 and to replace it with the following:

Pursuant to Section 11 of the Sub-Advisory Agreement (the “Agreement”) dated May 18, 2001 among Natixis Funds Trust I (formerly, CDC Nvest Funds Trust I), with respect to its Natixis U.S. Multi-Cap Equity Fund (formerly, CDC Nvest Star Advisers Fund) series (the “Series”), Natixis Asset Management Advisors, L.P. (formerly, CDC IXIS Asset Management Advisers, L.P.) (the “Manager”), and Loomis, Sayles & Company, L.P. (the “Sub-Adviser”), the Agreement is hereby amended by deleting Section 7 and replacing it with the following:
