THIS PARTICIPATION AGREEMENT, dated as of the 15th day of June, 2011 (the “Agreement”) by and among TRANSAMERICA FINANCIAL LIFE INSURANCE COMPANY, (the “Company”), an Iowa life insurance company, on its own behalf and on behalf of each segregated asset account of the Company set forth on Schedule A hereto as may be amended from time to time (each separate account hereinafter referred to as the “Account”), DWS VARIABLE SERIES I (formerly known as SCUDDER VARIABLE SERIES I), and DWS VARIABLE SERIES II (formerly known as SCUDDER VARIABLE SERIES II) (individually, a “Fund”), each a Massachusetts business trust created under a Declaration of Trust, as amended, DWS INVESTMENTS DISTRIBUTORS, INC. This contract permits the accumulation of funds on a tax-deferred basis and provides a periodic annuity payment for the life of the Annuitant or for a certain period of time, or a combination of both. Payments start on the Annuity Commencement Date.
