(the “Company”) and Mellon Investor Services LLC, as Rights Agent (the “Rights Agent”), to the Rights Agreement dated as of December 29, 2008, as previously amended by Amendment No. 1 on June 19, 2011 (the “Rights Agreement”) between the Company and the Rights Agent.
