THIS PURCHASE AGREEMENT, dated as of 21 July, 2011, is made by and between Dana Limited, an Ohio limited liability company (the “Seller”) and GETRAG Getriebe- und Zahnradfabrik Hermann Hagenmeyer GmbH & Cie KG, a German limited partnership (the “Purchaser”). Purchaser and Seller are each referred to herein as a “Party” and collectively as the “Parties”. Certain capitalized terms used herein are defined in Article I below.
