Investment Agreement dated as of the day of , 20 by and between Northern Trust Investments, Inc. as directed trustee (the “Directed Trustee”) on behalf of the Alternative Alpha Fund of the American Bar Association Members/Northern Trust Collective Trust by Northern Trust Investments, Inc. as trustee (the “Participating Trust”) and Wellington Trust Company, National Association (“Wellington Trust” or the “Trustee”), as trustee of the Wellington Trust Multiple Collective Investment Funds Trust II (the “Collective Investment Funds Trust”), a group trust established pursuant to the Amended and Restated Plan and Declaration of Trust, dated June 15, 1999, and most recently amended and restated as of September 1, 2010 (the “Amended and Restated Plan and Declaration of Trust”), which is attached hereto as Exhibit A.
