PURCHASE AND SALE AGREEMENT, dated as of November 11, 2011 (this “Agreement”), by and among Evercore LP, a Delaware limited partnership (the “Buyer”), ABS Investment Management, LLC, a Delaware limited liability company (the “Company”), ABS SR LLC, a Delaware limited liability company (in its capacity as the Representative, the “Initial Representative”), Mr. Alain De Coster, Mr. Laurence K.
