AGREEMENT made as of August 1, 2012, by and among the SSgA Funds, a Massachusetts business trust (the “Trust”), on behalf of any of the Trust’s money market series now existing or which may be created in the future (each a “Fund” and, collectively, the “Funds”) and SSgA Funds Management, Inc. (“SSgA FM”).
