Effective as of the Original Effective Date, the Company adopted this Plan for the benefit of certain “Eligible Employees” of the Company and certain Affiliates specified by the Company who were then employed by the Company. The Company hereby amends and restates the Plan, effective as of the Amendment and Restatement Effective Date, for the benefit of Eligible Employees hired after the Original Effective Date and, effective as of January 1, 2014, for the benefit of all Eligible Employees, including Eligible Employees employed on the Original Effective Date. The Plan is intended to apply to United States based “Employees,” as described herein. The Plan shall be binding on any successor to all or substantially all of the Company’s assets or business.
