THIS AMENDMENT TO THE AGENCY AGREEMENT (this “Amendment”) is entered into as of the 5th day of September, 2008, by and between THE BISHOP STREET FUNDS, a Massachusetts business trust (the “Fund”), on behalf of each and every Fund or Portfolio of the Fund that DST provides transfer agency and other services to pursuant to the Agency Agreement (as described below), and DST Systems, Inc, a company organized under the laws of the State of Delaware (“DST”).

THIS SUB-DISTRIBUTION AND SERVICING AGREEMENT (this “Agreement”) is made this day of , 20 , (“Effective Date”) between the participating dealer identified on the signature page of this Agreement (hereinafter, the “Participating Dealer”) and SEI Investments Distribution Co., a Pennsylvania corporation with its principal place of business at One Freedom Valley Drive, Oaks, Pennsylvania 19456 (the “Distributor”).

The undersigned, being all of the Trustees of Bishop Street Funds, an open-end investment management company established under Massachusetts law as a Massachusetts voluntary association (commonly known as a business trust) under an Amended and Restated Agreement and Declaration of Trust dated September 1, 1994 (the “Declaration of Trust”), and being authorized by Article IX, Section 9 of the Declaration of Trust to effect this amendment, do hereby amend, effective upon the signing of this instrument, the Declaration of Trust as follows:

SEI Investments Distribution Co. (the “Distributor”) is the distributor for Bishop Street Funds (the “Fund”), an open-end investment company registered under the Investment Company Act of 1940, as amended, and currently consisting of a number of separately managed portfolios (the “Portfolios”). Pursuant to a Shareholder Service Plan and Agreement between the Fund and the Distributor, the Distributor is authorized to retain First Hawaiian Bank, a national banking association (the “Service Provider”) to provide the shareholder services described in Section 1 to clients of the Service Provider (the “Clients”) who from time to time beneficially own shares (the “Shares”) of any Portfolio. The Service Provider is willing to provide such services in accordance with the terms and conditions of this Agreement.

Bishop Street Funds (the “Fund”) is an open-end investment company registered under the Investment Company Act of 1940, as amended, and currently consisting of a number of separately managed portfolios (the “Portfolios”). The Fund desires to retain SEI Investments Distribution Co. (the “Distributor”), a Pennsylvania corporation, to itself provide or to compensate service providers who themselves provide, the services described herein to clients (the “Clients”) who from time to time beneficially own Institutional Class and Class A shares (“Shares”) of any Portfolio of the Fund. The Distributor is willing to itself provide or to compensate service providers for providing, such shareholder services in accordance with the terms and conditions of this Agreement.
