SC Distributors, LLC, a Delaware limited liability company, as the dealer manager (“Dealer Manager”) for Carter Validus Mission Critical REIT II, Inc., a Maryland corporation (the “Company”), invites you (“Dealer”) to participate in the distribution of shares of Class A and Class C common stock (collectively, the “Shares”) of the Company subject to the terms described in this Participating Broker Dealer Agreement (the “Agreement”).
