This EMPLOYMENT AGREEMENT (the “Agreement”) is entered into as of September 11, 2013 (the “Effective Date”), by and between ECM Energy Services, Inc., a Delaware corporation (the “Company”) having its principal place of business at 1000 Commerce Park Drive, Suite 301, Williamsport, PA 17701, and Harry Wahl (“Executive”, and the Company and the Executive collectively referred to herein as the “Parties”) having an address at 35 Woodside Dr, Mountoursville, PA 17754.

THIS COMMON STOCK PURCHASE WARRANT (the “Warrant”) certifies that, for value received, (the “Holder”) is entitled, upon the terms and subject to the limitations on exercise and the conditions hereinafter set forth, at any time on or after the “Initial Exercise Date” (which is the Issue Date) and on or prior to the close of business on the fifth (5th) anniversary of the Initial Exercise Date (the “Termination Date”) but not thereafter, to subscribe for and purchase from ECM Energy Services, Inc., a Delaware corporation (the “Company”), up to 2 shares (the “Warrant Shares”) of Common Stock. The purchase price of one share of Common Stock under this Warrant shall be equal to the Exercise Price, as defined in Section 2(b).
