CREDIT AND GUARANTY AGREEMENT, dated as of November 9, 2012, among ENVIVA MLP HOLDCO LLC, a Delaware limited liability company (“MLP Holdco”), ENVIVA GP, LLC, a Delaware limited liability company (“GP”), ENVIVA, LP, a Delaware limited partnership (the “Borrower”), the SUBSIDIARY GUARANTORS (as hereinafter defined), the LENDERS (as hereinafter defined), the LC FACILITY ISSUING BANKS (as hereinafter defined), BARCLAYS BANK PLC, as collateral agent (together with any successor collateral agent, the “Collateral Agent”) for the Secured Parties (as hereinafter defined), and BARCLAYS BANK PLC, as administrative agent (together with any successor administrative agent appointed pursuant to Article IX, the “Administrative Agent” and, together with the Collateral Agent) for the Lender Parties (as hereinafter defined).

THIS CONTRIBUTION AGREEMENT (including the exhibits and schedules hereto, each as amended or restated from time to time, this “Agreement”), dated as of November 25, 2014 (the “Execution Date”), is by and between Enviva, LP, a Delaware limited partnership (“Transferor”), and Enviva Wilmington Holdings, LLC, a Delaware limited liability company (“Transferee”). Transferor and Transferee are collectively referred to as the “Parties” and individually as a “Party.” Hancock Member (as defined herein) joins this Agreement for purposes of Section 4.6.

FIRST AMENDMENT TO CREDIT AGREEMENT (this “Amendment”) dated as of April 9, 2014, by and among Enviva, LP, a Delaware limited partnership (the “Borrower”), Enviva GP, LLC, a Delaware limited liability company (the “GP”), Enviva MLP Holdco, LLC, a Delaware limited liability company (“MLP Holdco”), the entities set forth on the signature pages hereto under the heading “Subsidiary Guarantors” (the “Subsidiary Guarantors”), Barclays Bank PLC (“Barclays”), as administrative agent (in such capacity, the “Administrative Agent”), and the Lenders and LC Facility Issuing Banks (each as defined in the Credit Agreement described below) party hereto.
