The Carlyle Group L.P., a Delaware limited partnership (the “Partnership”), proposes to issue and sell to the several Underwriters listed in Schedule 1 hereto (the “Underwriters”), for whom you are acting as representative (the “Representative”) an aggregate of 7,000,000 common units (the “Units”), representing limited partner interests in the Partnership (the “Common Units”).
