This Management Agreement (“Agreement”), dated as of July 1, 2015, is by and between Columbia Management Investment Advisers, LLC (the “Investment Manager”), a Minnesota limited liability company, and Columbia Funds Series Trust I (the “Trust”), a Massachusetts business trust, on behalf of its series listed in Schedule A, and is effective with respect to each Fund specified in Schedule A on the date indicated thereon. The terms “Fund” and “Funds” are used to refer to either the Trust or its underlying series, as context requires.

This Amendment No. 1 (the “Amendment”), made and entered into as of June 10, 2015, is made a part of the Subadvisory Agreement between Columbia Management Investment Advisers, LLC, a Minnesota limited liability company (“Investment Manager”) and Dalton, Greiner, Hartman, Maher & Co., LLC, a Delaware limited liability company (“Subadviser”), dated March 7, 2012 (the “Agreement”).

For the following funds, the asset charge for each calendar day of each year shall be equal to the total of 1/365th (1/366th in each leap year) of the amount computed in accordance with the fee schedule in the table below:
