THIS CONFIDENTIAL SETTLEMENT AND RELEASE OF CLAIMS AGREEMENT (“AGREEMENT”), effective on the last date executed below, is entered into between CANNAPHARMARX, INC., a Delaware corporation (“CPRx”), on behalf of itself, its officers, directors, owners, shareholders, employees, attorneys, representatives and agents (in their individual and representative corporate capacities), and CPRx’s parent, affiliated, predecessor, successor, subsidiary, and other related companies, including Golden Dragon Holding Co., CannaPharmaRX, Inc.
