This SECOND AMENDED AND RESTATED TRUST AGREEMENT (this “Trust Agreement”) of NUVEEN GRESHAM LONG/SHORT COMMODITY ETF (formerly known as NUVEEN LONG/SHORT COMMODITY TOTAL RETURN FUND) (the “Trust”) is made and entered into as of the [ ] day of [ ], 2015, by and among NUVEEN COMMODITIES ASSET MANAGEMENT, LLC, a Delaware limited liability company, as manager (the “Manager”), WILMINGTON TRUST COMPANY, a Delaware trust company, as trustee (the “Resident Delaware Trustee”), and the SHAREHOLDERS from time to time hereunder.
