CREDIT AGREEMENT FOR MARGIN FINANCING (this “Agreement”), dated as of August 26, 2014, by and between WESTERN ASSET MIDDLE MARKET INCOME FUND INC., a Maryland corporation that is registered under the Investment Company Act of 1940, as amended, as a closed-end management investment company (the “Client”), and PERSHING LLC (“Pershing”).
