AGREEMENT made this 18th day of April, 2016, by and between RAINIER INVESTMENT MANAGEMENT MUTUAL FUNDS (the “Trust”), a trust organized under the laws of the State of Delaware, on behalf of each series of the Trust listed on Exhibit A hereto, as may be amended from time to time (individually, a “Fund” and collectively, the “Funds”), and MANNING & NAPIER ADVISORS, LLC (the “Advisor”), a Delaware limited liability company.
