AMENDED AND RESTATED LIMITED LIABILITY COMPANY AGREEMENT of BTOA II L.L.C., a Delaware limited liability company (the “Company”), dated as of December 19, 2014, by and among Blackstone Holdings III L.P., a Québec société en commandite (the “Managing Member” or “Holdings”), as managing member, and the other members of the Company as set forth in the books and records of the Company, and such other persons that are admitted to the Company as members after the date hereof in accordance herewith.
