THIS REGISTRATION RIGHTS AGREEMENT (this “Agreement”), executed as of September 12, 2016, is made between (i) Nuveen AMT-Free Quality Municipal Income Fund (formerly known as Nuveen AMT-Free Municipal Income Fund), a closed-end fund organized as a Massachusetts business trust (the “Fund”), and (ii) Wells Fargo Bank, National Association, a national banking association organized and existing under the laws of the United States of America, including its successors by merger or operation of law (“Wells Fargo”) (the “Shareholder”).
