AGREEMENT made as of June 15, 1994, as amended and restated on [ ], 2017, between SCHWAB ANNUITY PORTFOLIOS, a Massachusetts business trust (herein called the “Trust”), and CHARLES SCHWAB INVESTMENT MANAGEMENT, INC., a Delaware corporation (the “Investment Adviser”).
