This INVESTMENT MANAGEMENT AGREEMENT, dated and effective as of April 25, 2017 (the “Agreement”), is between FS FUND ADVISOR, LLC, a Delaware limited liability company (the “Investment Manager”), and FS ALTERNATIVES FUND (CAYMAN), a Cayman Islands exempted company (the “Fund”), a wholly-owned subsidiary of FS Series Trust (“FS Series”), a Delaware statutory trust and open-end investment company registered under the Investment Company Act of 1940, as amended (the “Investment Company Act”), on behalf of its series, FS Multi-Strategy Alternatives Fund (“FS Multi-Strat”). The purpose of the Fund is to facilitate the implementation of FS Multi Strat’s investment strategies.
