Thrivent Mutual Funds (“TMF”) and Thrivent Asset Management, LLC (“TAM”) hereby agree that, with respect to the Investment Advisory Agreement dated January 1, 2006, as amended, between TMF and TAM (the “Agreement”), effective June 28, 2018, the Agreement is amended to reflect that Thrivent Growth and Income Plus Fund merged into Thrivent Moderately Aggressive Allocation Fund. A revised Exhibit A is attached hereto.

This Agreement and Plan of Reorganization (the “Agreement”) is made as of June 21, 2018 by Thrivent Mutual Funds (the “Trust”), a Massachusetts business trust, on behalf of its series, Thrivent Moderately Aggressive Allocation Fund (the “Acquiring Fund”) and Thrivent Growth and Income Plus Fund (the “Target Fund”). Thrivent Financial for Lutherans is also party to the Agreement solely for purposes of Section 3.F.

Thrivent Distributors, LLC (“TDL”) and Thrivent Mutual Funds (“TMF”) hereby agree that, with respect to the Distribution Agreement dated January 1, 2016, as amended, between TDL and TMF (the “Agreement”), effective June 28, 2018, the Agreement is amended to reflect that Thrivent Growth and Income Plus Fund merged into Thrivent Moderately Aggressive Allocation Fund.

(“TFISI”) hereby agree that, with respect to the AMENDED AND RESTATED TRANSFER AGENCY AND SERVICE AGREEMENT, dated as of January 1, 2018 by and between TMF and TFISI (the “Agreement”), effective June 28, 2018, the Agreement is amended to reflect that Thrivent Growth and Income Plus Fund merged into Thrivent Moderately Aggressive Allocation Fund.
