This Amended and Restated Change of Control Severance Agreement (the “Agreement”) is made and entered into by and between Luc Seraphin (“Executive”) and Rambus Inc., a Delaware corporation (the “Company”), effective as of October 25, 2018 (the “Effective Date”).

This Employment Agreement (the “Agreement”) is made and entered into by and between Luc Seraphin (“Executive”) and Rambus Inc., a Delaware corporation (the “Company”), effective as of October 25, 2018 (the “Effective Date”). This Agreement supersedes in its entirety the Employment Agreement (the “Prior Agreement”) made and entered into by and between Executive and the Company, effective as of June 28, 2018 (the “Prior Agreement Effective Date”) governing Executive’s employment as the Company’s interim President and Chief Executive Officer.
