This Separation and Release Agreement (this “Agreement”), by and between Federal Express Corporation (“Company”), and David L. Cunningham (“Employee”), is being offered to Employee on December 3, 2018 (the “Offer Date”), and may be accepted by Employee by signing the Agreement without change and returning it to the Company no later than December 4, 2018 (the “Offer Expiration Date”). Subject to the provisions of Section 12 hereof, the date on which Employee executes this Agreement shall be its “Effective Date.”
