FIRST SUPPLEMENTAL INDENTURE (this “Supplemental Indenture”), dated as of June 3, 2019, between MFA Financial, Inc., a Maryland corporation (the “Company”), and Wilmington Trust, National Association (the “Trustee”), a national banking association organized under the laws of the United States, as trustee under the Indenture dated as of June 3, 2019, between the Company and the Trustee (as amended or supplemented from time to time in accordance with the terms thereof, the “Base Indenture”).

MFA Financial, Inc., a Maryland corporation (the “Company”), proposes to issue and sell, severally and not jointly, to the several underwriters listed in Schedule A hereto (collectively, the “Underwriters”), for whom Morgan Stanley & Co. LLC (“Morgan Stanley”) and Goldman Sachs & Co. LLC are acting as representatives (the “Representatives”), $200,000,000 principal amount of its 6.25% Convertible Senior Notes due 2024 (the “Firm Securities”) to be issued pursuant to the provisions of a base indenture, to be dated as of June 3, 2019 (the “Base Indenture”), by and between the Company and Wilmington Trust, National Association, as Trustee (the “Trustee”), and a supplemental indenture to be dated as of June 3, 2019 (the “Supplemental Indenture” and, together with the Base Indenture, the “Indenture”), by and between the Company and the Trustee.
