This REGISTRATION RIGHTS AGREEMENT (the “Agreement”) is made and entered into on June 4, 2020, by and among Sands China Ltd., a company incorporated in the Cayman Islands as an exempted company with limited liability (the “Issuer”), on the one hand, and Barclays Capital Inc., Goldman Sachs & Co. LLC and BofA Securities, Inc., on their own behalf and as representatives (the “Representatives”) of each of the other Initial Purchasers named in Schedule A hereto (collectively, the “Initial Purchasers”), on the other hand.
