Carlyle Finance L.L.C., a Delaware limited liability company (the “Company”), proposes to issue and sell to the several Underwriters listed in Schedule I hereto (the “Underwriters”), for whom you are acting as representatives (the “Representatives”), $400,000,000 aggregate principal amount of its 4.625% Subordinated Notes due 2061 (the “Underwritten Notes”) and, at the option of the Underwriters, up to an additional $60,000,00 aggregate principal amount of its 4.625% Subordinated Notes due 2061 (the “Option Underwritten Notes”) if and to the extent that the Underwriters shall have determined to exercise the option to purchase such Option Underwritten Notes granted to the Underwriters in Section 2 hereof. The Underwritten Notes and the Option Underwritten Notes are herein referred to as the “Notes”.
