This SUBSCRIPTION AGREEMENT (this “Agreement”), dated as of December 13, 2021, is being entered into by and between Li-Cycle Holdings Corp., a corporation incorporated under the laws of the Province of Ontario with offices located at 207 Queen’s Quay West, Suite 590, Toronto, Ontario M5J1A7 (the “Company”), and LG Energy Solution, Ltd., a corporation organized under the laws of the Republic of Korea (“Korea”) with offices located at Parc1 Tower 1, 108, Yeoui-daero, Yeongdeungpo-gu, Seoul 07335, Korea (the “Subscriber”).

This STANDSTILL AGREEMENT (this “Standstill Agreement”) is entered into as of this 13th day of December, 2021, by and among Li-Cycle Holdings Corp., a company incorporated under the laws of the Province of Ontario, Canada (the “Company”), LG Energy Solution, Ltd., a corporation organized under the laws of the Republic of Korea (the “Subscriber LGES”), and LG Chem, Ltd., a corporation organized under the laws of the Republic of Korea (the “Subscriber LGC” and, together with the Subscriber LGES, the “Investors”).
