This letter agreement sets forth the commitment of East Asset Management, LLC (“Investor”) to contribute, or cause the contribution of, that certain amount of equity financing to Callodine MidCo, Inc., a Delaware corporation (“Parent”), on the terms and subject to the conditions set forth herein.
