This VOTING AGREEMENT is made as of December 9, 2022 (this “Agreement”), between Brookfield Corporation (the “Corporation”), a corporation existing under the laws of the Province of Ontario, and Brookfield Asset Management Ltd. (the “Manager”), a company incorporated under the laws of the Province of British Columbia (the Corporation and the Manager are collectively referred to as the “Parties” and individually as a “Party”).

This TAX MATTERS AGREEMENT is made as of December 8, 2022 (this “Agreement”) between Brookfield Asset Management Inc. (the “Manager”), a company incorporated under the laws of the Province of British Columbia, and Brookfield Asset Management ULC (the “Asset Management Company”), an unlimited liability company incorporated under the laws of the Province of British Columbia (the Corporation, the Manager, the Asset Management Company and each of the members of their respective Groups, as defined herein, are collectively referred to as the “Parties” and individually as a “Party”).
