These Amended and Restated Terms and Conditions of Employment (the “Agreement”) are entered into and effective as of this 13th day of October, 2023 (“Effective Date”) by and between COMMERCIAL METALS COMPANY, a Delaware corporation (the “Employer” or the “Company”) and PAUL LAWRENCE (the “Executive”). The Employer and Executive are collectively referred to as the “Parties,” and individually as a “Party.” This Agreement amends, restates and supersedes that certain Terms and Conditions of Employment by and between the Company and Executive dated August 13, 2019, as amended as of November 4, 2021 (the “Prior Agreement”) in its entirety.
