THIS AMENDED AND RESTATED PRINCIPAL UNDERWRITING AGREEMENT (the “Agreement”) made and effective as of the 1st day of January, 2013 (the “Effective Date), by and between TRANSAMERICA CAPITAL, INC. (“TCI”), a California corporation, and Transamerica Financial Life Insurance Company (“TFLIC”), a New York Corporation.

THIS AGREEMENT is made by and among each life insurance company (“Insurer”); each principal securities underwriter for Insurer (“Underwriter”); each selling broker/dealer (“Broker-Dealer”); and each selling insurance agency (“Agency”) in the capacities as set forth on Schedule A-Signature Page which is attached to and made a part of this Agreement by this reference. (Broker-Dealer and Agency are collectively referred to as “Producer”). This Agreement is initially effective on the date of first execution by Insurer.
