THIS AMENDMENT (this “Amendment”) to the ADMINISTRATIVE AGENCY AGREEMENT, dated April 28, 2020 (the “Agreement”), is made and effective as of December 10, 2024, by and between BROWN BROTHERS HARRIMAN & CO., a limited partnership organized under the laws of the State of New York (the “Administrator”), and PARNASSUS INVESTMENTS, LLC (the “Advisor”), a Delaware limited liability company and the successor-in-interest to Parnassus Investments, a California corporation. All capitalized terms used but not defined herein shall have the meanings given to them in the Agreement.

INVESTMENT ADVISORY AGREEMENT made this 10th day of December, 2024, by and between PARNASSUS INCOME FUNDS (the “Trust”), a Massachusetts business trust (the Trust will be renamed “Parnassus ETFs” after the close of business on December 31, 2024), on behalf of each of its investment series set forth on Schedule A hereto as it may be amended from time to time (hereinafter referred to each as a “Fund” and together as the “Funds”), and PARNASSUS INVESTMENTS, LLC (the “Adviser”).

This DISTRIBUTION AGREEMENT (the “Agreement”) is effective this 10th day of December 2024, and made by Parnassus Income Funds, a Massachusetts business trust (the “Trust”) having its principal place of business at 1 Market Street, Suite 1600, San Francisco, CA 94105 (the Trust will be renamed “Parnassus ETFs” after the close of business on December 31, 2024), and Parnassus Funds Distributor, LLC, a Delaware limited liability company (the “Distributor”) having its principal place of business at Three Canal Plaza, Suite 100, Portland, ME 04101.

THIS AMENDMENT TO CUSTODIAN AGREEMENT (this “Amendment”) is dated as of December 10, 2024 by and between PARNASSUS INCOME FUNDS, a Massachusetts business trust (the “Trust”) that is registered with the Securities and Exchange Commission under the Investment Company Act of 1940, as amended (the “1940 Act”) (the Trust will be renamed “Parnassus ETFs” after the close of business on December 31, 2024), and BROWN BROTHERS HARRIMAN & CO., a limited partnership formed under the laws of the State of New York (“BBH&Co.” or the “Custodian”).

All capitalized terms used but not defined herein shall have the meanings given to them in the Agreement.
