THIS COMMON STOCK PURCHASE AGREEMENT (“Agreement”) is made and entered into as of January 22, 2010 (the “Effective Date”), by and between GERON CORPORATION, a Delaware corporation having its principal place of business at 230 Constitution Drive, Menlo Park, California 94025 (“Geron”), and Samchully Pharm. Co., Ltd., having a principal place of business at 947-7, Daechi-dong, Gangnam-gu, Seoul, Korea (“Manufacturer”).
