This Amended and Restated Employment Agreement (“Agreement”) is entered into as of the 8th day of February, 2011 (the “Effective Date”), by and between David Greenwood (“Executive”) and Geron Corporation (the “Company”) and amends and restates that certain Employment Agreement entered into between Executive and the Company as of January 21, 2003, as amended (the “Prior Agreement”), in its entirety.
