This Selected Dealer Agreement (“Agreement”) is entered into as of March 5, 2009, by and between UBS Global Asset Management (US) Inc., a Delaware corporation, (“we” or “us”) and Treasury Curve, LLC, a California limited liability company (“you”). We are the exclusive national distributor of the shares (“Shares”) of the investment companies listed on Schedule A hereto (“Funds”), each of which is registered under the Investment Company Act of 1940, as amended (“1940 Act”) or is a series of a registered investment company. We understand that you wish to act as a Selected Dealer with respect to the Shares. You have represented that you are a broker-dealer registered with the Securities and Exchange Commission (“SEC”) under the Securities Exchange Act of 1934, as amended (“1934 Act”) and a member in good standing of the Financial Industry Regulatory Authority (“FINRA”), or a “bank” as defined in Section 3(a)(6) of the 1934 Act (“Bank”) and are not required to register as a broker-dealer un
