This ESCROW DEPOSIT AGREEMENT (this “Agreement”) dated as of this ___ day of _____________, 2017, by and among AGM GROUP HOLDINGS, INC., a British Virgin Islands company (the “Company”), having an address at 1 Jinghua South Road, Wangzuo Plaza East Tower, Room 2112, Beijing, People’s Republic of China 100020, NETWORK 1 FINANCIAL SECURITIES INC. All capitalized terms not herein defined shall have the meaning ascribed to them in that certain Prospectus, dated September 19, 2017, including all attachments, schedules and exhibits thereto (the “Prospectus”).
