THIS EMPLOYMENT AGREEMENT (this “Agreement”) is entered into as of December 28, 2017 (the “Effective Date”), by and among FMC GlobalSat Holdings, Inc., a Delaware corporation (the “Company”) and Emmanuel Cotrel (the “Employee”). Certain capitalized terms used herein are defined in Section 5. In consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties to this Agreement agree as follows:

Unless otherwise defined herein, the terms defined in the FMC GlobalSat Holdings, Inc. 2017 Equity Incentive Plan (the “Plan”) will have the same defined meanings in this Stock Option Award Agreement (the “Award Agreement”).
