This Escrow Agreement dated this 29th day of April, 2022 (the “Escrow Agreement”), is entered into by and among Ostin Technology Group Co., Ltd., a company organized under the laws of the Cayman Islands (the “Company” or “Ostin”), having an address at Building 2, 101/201, 1 Kechuang Road, Qixia District, Nanjing, Jiangsu Province, China 210046, Prime Number Capital LLC, having an address at 1129 Northern Blvd., Suite 404, Manhasset, New York, 11030, (the “Underwriter”) and together with the Company, each a “Party” and collectively, the “Parties”), and Wilmington Trust, National Association, as escrow agent (“Escrow Agent”).
