Sub-Advisory Agreement (this “Agreement”) entered into as September 6, 2023, by and between Amplify Investments LLC, a Delaware limited liability company with its principal place of business at 3333 Warrenville Road, Suite 350, Lisle, Illinois 60532 (the “Adviser”), and Kelly Strategic Management, LLC, a registered investment adviser organized under the laws of the State of Delaware (the “Sub-Adviser”).
