THIS AMENDED AND RESTATED REGISTRATION RIGHTS AGREEMENT (this “Agreement”), dated as of [●], 2024, is made and entered into by and among AleAnna, Inc., a Delaware corporation (f/k/a Swiftmerge Acquisition Corp., a Cayman Islands exempted company prior to its domestication as a Delaware corporation) (the “Company”), Swiftmerge Holdings, LP, a Delaware limited partnership (the “Sponsor”), Nautilus Resources LLC, a Delaware limited liability company (“Nautilus”), and the undersigned parties listed under Holders on the signature pages hereto (each such party, together with the Sponsor, Nautilus and any person or entity who hereafter becomes a party to this Agreement pursuant to Section 5.2, a “Holder” and collectively the “Holders”).
