This ASSET PURCHASE AGREEMENT, dated as of April 22, 2022 (the “Agreement Date”), is by and among EYP Group Holdings, Inc., a Delaware corporation (“EYP”), and each of EYP’s Subsidiaries and Affiliates listed on the signature pages hereto (together with EYP, “Sellers” or the “Company”, and each, a “Seller”) and Ault Alliance, Inc., a Delaware corporation, or its designee(s) (“Buyer”).
