This Share Exchange Agreement (this “Agreement”) dated as of February 9, 2023 (the “Effective Date”), is made and entered into by and between Ecoark Holdings, Inc., a Nevada corporation (the “Company”), Ault Alliance, Inc., a Delaware corporation (“AAI”) and the other signatories hereto (the “Minority Shareholders” and with AAI, the “Shareholders”). The Company, AAI and the Minority Shareholders are at times referred to herein individually as a “Party” and collectively as the “Parties.”
