Pursuant to the discussions we have had over the past several weeks, this letter will confirm the agreement we have reached and set forth the material terms and conditions of an Exploration and Development Agreement among Placer Dome U.S. Inc. ("PDUS") a California corporation, White Knight Resources Ltd. ("WKRL") a British Columbia corporation, White Knight Gold (U.S.), Inc. ("WKGI"), a Delaware corporation, and CUN Minerals, Inc., a Nevada corporation ("CUN;" WKGI, WKRL, and CUN will be collectively referred to hereafter as "White Knight"), as well as Chapleau Resources Ltd.
