AGREEMENT dated as of July 1, 2005, between William G. Cornely (“Cornely”) and Glimcher Realty Trust, its affiliated and subsidiary entities, and its shareholders, directors, officers, agents, employees, successors and assigns (collectively, “Glimcher”). The Effective Date of this Agreement is the day on which it ceases to be revocable, as described in Paragraph 15, below.
