This SUBORDINATED NOTE PURCHASE AGREEMENT (this “Agreement” and, collectively with the agreements with the other purchasers to purchase the Subordinated Notes (as defined herein), the “Subordinated Note Purchase Agreements”) is dated as of August 17, 2022 and is made by and among Five Star Bancorp, a California corporation (the “Company”), and the purchaser of the Subordinated Note identified on the signature page hereto (the “Purchaser” and collectively with the other purchasers of Subordinated Notes, the “Purchasers”).
